Jan brings over sixteen years of experience in intellectual property, technology, Internet, corporate and international law to The Eclipse Group.  His areas of expertise include technology licensing and distribution; e-commerce; mergers and acquisitions; financing; domestic and international joint ventures and strategic alliances; and international law.
 
Jan’s clients have included European, Asian and U.S. firms, for whom he has negotiated, drafted and executed contracts with international companies worldwide; consulted on entrepreneurial solutions and product development; conducted global risk assessments; structured international finance and investments; developed infrastructure; and assisted with joint venture and strategic partnership opportunities.  Jan also provided counsel on issues of intellectual property and general business and corporate law.  He has successfully litigated numerous cases for clients in both U.S. and international courts.
 
Jan has represented clients ranging from entrepreneurs and early-stage companies to Fortune 500 and international companies such as MCI WorldCom, Banco Agrícola S.A. (the largest bank in El Salvador and one of the largest banks in Central America), and London Clubs International plc and Aspinall’s Club, Limited (two London-based casinos with international operations).
 
His clients are active in cutting-edge fields such as software development, telecommunications, life sciences, green energy, media and content production, and the Internet. In addition Jan has served as counsel for many traditional "old economy" companies in the manufacturing, distribution, professional services, and entertainment and gaming industries.
 
In addition to his legal expertise, Jan possesses a scientific background in mathematics, physics, chemistry and biology. Jan is a former adjunct professor at both La Sierra University and California State University Northridge.  He has served on the board of trustees for The Partnership Scholars, a pre-college education program that instructs low-income students in middle and high schools in Los Angeles and northern California.
 
Prior to joining The Eclipse Group, Jan served as one of the founding partners of Loeb, Kosacz & Sundberg, LLP (Los Angeles), and has also served as corporate counsel for several European and U.S. technology companies.
 
Jan holds a B.S., and received his J.D. from the University of Uppsala School of Law in Sweden, where he received the scholarship for excellent international legal scholars from the Swedish Export Counsel.  He then went on to be awarded his LL.M. in International Law from the University of Minnesota Law School.

Selected Cases: 

Transactional:

  • Banco Agrícola S.A. (Largest bank in El Salvador and one of the largest banks in Central America) - Counsel to the California Agencies in two public securitizations of diversified payment streams, including money transfer payments from the California agencies.  The first securitization was underwritten by Barclays Capital and the second securitization was underwritten by Union Bank.
  • MCI WorldCom – Represented MCI WorldCom to establish independent distributorship and reseller networks in West Africa.
  • Search123.com (Westlake Village-based “pay per click” search engine company) - represented company in acquisition of Simpli.com from NetZero and acquisition of company by ValueClick, Inc.
  • Representation of privately held wireless reasearch company – General counsel - negotiated and drafted joint ventures with international companies in Singapore and India to implement new wireless technology for HD broadcasting; structured and implemented contracts and strategic relationships with major defense related companies.
  • Represented privately held life sciences company – structured and implemented international corporate structure with European subsidiaries, including cross-border product development, intellectual property rights and employment agreements.
     

Litigation:

  • Aspinall’s Club Ltd., et al v. Sukamoto Sia, et al., Los Angeles Superior Court, Case No. BC274214; In re: Sukamoto Sia fka Sukarman Sukamoto, Case No. 98-04912; successfully brought an action in the United States Bankruptcy Court for the District of Hawaii seeking to recover $7 million owed by the debtor, a banker and real estate developer. The representation included prosecuting fraud and conspiracy actions resulting in the entry of judgments against several parties for joint and several liability in excess of $8 million. 
  • Represented a leading real estate developer in Southern California – Aladdin Entertainment Group LLC, et al. v Aryana, et al., San Bernadino Superior Court, Case No. CIVDS 903062 - Successfully defended a motion for preliminary injunction seeking to enjoin the client from doing business.
  • Represented one of the leading behavioral targeting and web analytics solutions providers – Netratings, Inc. v. Sagemetrics Corporation, Case No. 05-cv-4507 JFW (CWx) - successfully defended claims of patent infringement by a global information and media company with leading market positions in marketing and consumer information, television and other media measurement, online intelligence, mobile measurement, trade shows and business publications. 
  • Represented a privately held biomedical company which utilizes attenuated live virus to diagnose and treat cancer without harming healthy cells in the body - successfully prosecuted a case against a former CEO and control person who had, through various illegal corporate measures, vested 100% of the control of the company in the hands of his family, to the detriment of the founding scientist and outside investors. 
  • Represented a privately held life science company - successfully negotiated a settlement against European patent counsel, who had, through various misrepresentations, illegally expropriated the client’s intellectual property. After extensive discovery in Germany, settlement resulted in the immediate surrender of the claims against the client’s intellectual property.
  • Represented a privately held wireless reasearch company - Successfully terminated an exclusive distributor and licensee of the client’s wireless products and technology and defended against a claim that the out-of-state distributor was entitled to a return of moneys advanced to the client, by filing a “pre-emptive” strike in California for declaratory relief.
  • Represented a banking-software development company - successfully defended allegations of misappropriation of trade secrets, unfair competition, and other claims.  including plaintiff’s motion for a preliminary injunction.
