Ms. Hamilton assisted with the merger & acquisition of the middle market companies, performing extensive due diligence on intellectual property being acquired and/or sold. Once acquired, Ms. Hamilton acted as primary counsel for all the intellectual property needs of the conglomerate companies across all industry sectors. Through this representation, Ms. Hamilton was responsible for performing and preparing patent and trademark clearance and availability opinions for a variety of technologies, brands and products. Ms. Hamilton further maintained the U.S. patent and trademark docket for these conglomerate companies and assisted these companies with all their licensing needs, which included the preparation and negotiation of technology transfer agreements; technology license agreements; trademark license agreements; joint development agreements; alliance agreements; service agreements; consulting agreements, distribution agreements, publishing agreements, non-disclosure/confidentiality agreements and letters of intent. Ms. Hamilton continues to maintain a very diverse practice managing U.S. and foreign patent and trademark portfolios for a large number of clients across a variety of industry sectors. Further, Ms. Hamilton continues to be actively involved in drafting and negotiating technology development and license agreements. While at The Eclipse Group, Ms. Hamilton has assisted the firm’s clientele with entering into licensing arrangements with a number of Fortune 100 companies.
